Section Two: Drivers of the takeover. This is one of the three substantive sections and should be around 600 words. Here you should consider the key motivating factors of the takeover proposal. The lecture notes and related academic sources offer some ideas for how these thoughts on drivers might be structured managerial, financial, strategic, and so on. You can consider both external market/industry drivers as well as internal drivers. Remember you are not commenting here on academic references this is a practical report and in this section you are evaluating the drivers in this case. Section Three: Barriers to the takeover. (what may affect, eg. If this merger go ahead,. It may eg. Some shareholders and stakeholder may not be happy, different culture in two companyetc This section should also be in the region of 600 words. You should look at the relevant lecture notes and references to understand the kind of barriers that can typically stand in the way of such actions. In the case of a strategic move like this, there may be (for example) regulatory barriers, but there will also be many other stakeholders you should consider. Analyse the barriers and what the companies are doing to overcome them. Use any analytical techniques you think are appropriate (for example) to evaluate the external market environment or how stakeholders might react and so on. When you use such models and frameworks then please reference them. (can use stakeholder map/ PEST etc to see if they are the barriers on this takeover) The report should then move on to evaluate how different stakeholders might react to the takeover and what barriers they could potentially represent. The details of this section can form some foundations for the final section below. Section Four: Conclusion Post takeover integration This final section should be limited to around 600 words. The report should conclude here with an evaluation of the prospects for post-takeover integration. This should include a structured consideration of the issues and may also feature some brief recommendations for action by the firms that may contribute to success. Remember you are likely to consider softer issues such as culture as well as the (perhaps) more obvious financial, regulatory and structural matters. This can come from its own published materials, such as on their websites, as well as reports from reputable sources.
